Terms of Use

Effective date: May 10, 2026

These Terms of Use govern access to and use of Genaptic's corporate website and any website, page, form, preview, evaluation, download, or online experience that links to these Terms. They do not replace any product license agreement, master services agreement, data processing addendum, order form, support policy, statement of work, product terms, EULA, or other written agreement with Genaptic. If a separate written agreement applies, that agreement controls for the applicable product, service, evaluation, preview, support engagement, download, or deployment.

Agreement to these Terms

These Terms of Use are between you and Genaptic, Inc. If you access or use a Genaptic website, submit a form, request information, join a waitlist, access a preview, download materials, or otherwise use an online experience that links to these Terms, you agree to these Terms.

If you use the website or a linked online experience on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.

If you do not agree to these Terms, do not use the website or any online experience that links to these Terms.

About Genaptic

Genaptic, Inc. is a Delaware corporation that builds and licenses desktop-native AI applications. For legal questions or notices, contact legal@genaptic.com.

Website use

Subject to these Terms, Genaptic grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website for informational and business purposes. You may not use the website in a way that violates law, infringes rights, interferes with the website, attempts to bypass security controls, or misuses Genaptic content, systems, software, or services.

Eligibility and authority

You must be at least 18 years old and legally able to enter into these Terms. If you use the website or submit information on behalf of an organization, you represent that you have authority to do so.

Accounts, previews, evaluations, and product access

Certain Genaptic products, previews, evaluations, downloads, support offerings, or deployments may require separate terms, licenses, order forms, EULAs, data processing addenda, or written agreements. Those separate terms control for the applicable product, preview, evaluation, download, support offering, or deployment.

Genaptic may modify, suspend, or discontinue previews, evaluations, website features, or public materials at any time unless a separate written agreement says otherwise.

Acceptable use

You may not use the website or any linked online experience to:

  • violate applicable law or regulations;
  • infringe, misappropriate, or violate Genaptic's or any third party's rights;
  • compromise, probe, scan, or test the vulnerability of any non-public system without authorization;
  • interfere with or disrupt website operation, infrastructure, networks, accounts, models, APIs, repositories, or deployment environments;
  • introduce malware, harmful code, or abusive automation;
  • scrape, harvest, or collect data in an abusive or unlawful manner;
  • misrepresent your identity, authority, affiliation, or intent;
  • access or attempt to access non-public systems, software, models, APIs, repositories, infrastructure, or information;
  • reverse engineer, decompile, disassemble, or attempt to derive source code from non-public software except as permitted by law;
  • use Genaptic materials in violation of these Terms, applicable product terms, or applicable law; or
  • access, export, re-export, or transfer Genaptic software, services, technical information, or related materials in violation of export control, sanctions, or trade compliance laws.

Submissions, feedback, and communications

If you send Genaptic comments, suggestions, ideas, feedback, bug reports, feature requests, or other non-confidential submissions, you grant Genaptic a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, distribute, display, and otherwise exploit that feedback for any purpose without compensation to you.

Do not send confidential, sensitive, regulated, or proprietary information through general website forms or email unless Genaptic specifically requests it or a written agreement permits it.

User content and customer content

Content you submit through website forms or general communications may be used to respond to you, provide requested information, evaluate business opportunities, maintain records, protect security, and comply with law, as described in the Privacy Policy.

Customer files, prompts, outputs, local databases, source code, workflow content, generated application materials, and product data may be subject to separate product terms, customer agreements, data processing addenda, in-product settings, support terms, or customer-controlled configurations.

AI outputs and professional-use notice

Genaptic products and related AI features may generate code, text, workflows, analyses, summaries, suggestions, or other outputs. Outputs may be inaccurate, incomplete, insecure, noncompliant, unsuitable for a specific purpose, or subject to third-party rights. You are responsible for reviewing, testing, validating, and approving outputs before relying on them, deploying them, submitting them to third parties, or using them in legal, tax, accounting, financial, medical, employment, compliance, security, or other professional contexts.

No professional advice

Website content, product descriptions, AI outputs, examples, documentation, and other materials are provided for informational purposes only and are not legal, tax, accounting, financial, medical, security, or other professional advice. You are responsible for obtaining advice from qualified professionals where appropriate.

Intellectual property

The website, software, documentation, text, graphics, designs, logos, product names, trade dress, and other materials made available by Genaptic are owned by Genaptic or its licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, a written agreement, or applicable law, you may not copy, modify, distribute, sell, lease, host, reverse engineer, or create derivative works from Genaptic materials.

Trademarks

Genaptic™, Gent™, and related names, logos, product names, graphics, and trade dress are trademarks, service marks, or claimed trademarks of Genaptic, Inc.. U.S. federal trademark applications for GENAPTIC — Serial No. 99708881 — and GENT — Serial No. 99708921 — are pending. Pending applications do not guarantee registration. You may not use Genaptic marks without Genaptic's prior written permission, except as permitted by law. Other names, logos, and brands are the property of their respective owners.

Third-party services, model providers, and integrations

The website, products, or workflows may reference, link to, or interoperate with third-party model providers, APIs, repositories, package managers, cloud services, deployment targets, identity providers, or other integrations. Third-party services are governed by their own terms and privacy practices. Genaptic does not control third-party services, their availability, their security practices, or their use of data except as expressly stated in a Genaptic agreement.

Open-source and third-party components

Genaptic products may include, link to, or interoperate with third-party software, open-source components, APIs, frameworks, packages, or services. Third-party materials are subject to their own terms, notices, and licenses. Product-specific third-party notices, if any, control for the applicable product.

Privacy

Genaptic's collection, use, disclosure, and protection of personal information is described in the Privacy Policy. The Privacy Policy is not merged into these Terms except where applicable law allows or a written agreement says otherwise.

Security

Genaptic uses safeguards designed to protect its website and systems, but no method of transmission or storage is completely secure. You are responsible for maintaining the security of your devices, accounts, credentials, API keys, repositories, integrations, model-provider configurations, and deployment environments.

Disclaimers

The website and public materials are provided on an 'as is' and 'as available' basis. Genaptic does not warrant that the website or public materials will be uninterrupted, error-free, secure, complete, current, or suitable for your particular purpose. Product-specific warranties, if any, are provided only in the applicable written agreement.

Limitation of liability

To the maximum extent permitted by law, Genaptic and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or related to the website, public materials, or these Terms.

Indemnity

You agree to defend, indemnify, and hold harmless Genaptic from claims, damages, liabilities, costs, and expenses arising from your misuse of the website, violation of these Terms, violation of law, infringement of third-party rights, or content or materials you submit to Genaptic, except to the extent prohibited by law.

Changes to these Terms

Genaptic may update these Terms from time to time. The effective date above indicates when these Terms were last revised. If we make material changes, we will provide notice through the website, product experience, direct notice, or another reasonable method where required by law. Updated Terms apply prospectively unless otherwise stated or permitted by law.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except where applicable law requires otherwise. Product-specific agreements may specify different or additional governing-law, venue, dispute-resolution, or notice provisions.
